As Northern LGPS establishes a new FCA-authorised investment management company, we are seeking a strategic and experienced Company Secretary (CoSec). Reporting to the Chief Risk Officer, you will lead the company secretariat function, providing trusted governance advice to the Board and its Committees while ensuring statutory obligations, regulatory requirements, and corporate governance frameworks are embedded from the outset.
As Company Secretary, you will play a pivotal role in ensuring the organisation is built on strong governance, regulatory compliance, and effective decision-making. Key responsibilities include:
Board & Committee Administration: Leading the planning and administration of Board and Committee meetings, drafting agendas, high-quality papers, minutes, and action logs.
Statutory & Regulatory Compliance: Maintaining statutory books, registers, and corporate filings in line with Companies Act and Financial Conduct Authority (FCA) expectations.
Governance Frameworks: Managing governance policies, terms of reference, director onboarding, board evaluations, and the governance risk register.
Data Protection & Oversight: Acting as the Data Protection Officer for Northern LGPS and overseeing external company secretariat service providers.
Stakeholder Engagement: Representing Northern LGPS on corporate governance matters with partner funds, regulators, auditors, and external advisers.
We are looking for an accomplished governance professional who brings:
Essential Qualifications: Corporate Governance Institute qualified (or equivalent) and Certified Data Protection Officer (or significant relevant experience in both areas).
Significant experience in corporate governance and company secretariat responsibilities within a regulated environment.
Proven ability to provide trusted governance advice to Boards, senior executives, and Non-Executive Directors.
Strong background in statutory compliance, governance risk management, and regulatory reporting.
Exceptional communication and stakeholder management skills.
